1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and On The Ground (“Company,” “we,” “our,” or “us”) concerning your access to and use of Aperture Intelligence (the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

2. Description of Service

Aperture Intelligence is an AI-powered executive briefing service that aggregates, analyses, and summarises news and information from various sources based on user-defined topics and preferences. The Service uses artificial intelligence to generate personalised briefings delivered via email or accessible through our platform.

2.1 Third-Party Technology

The Service relies on third-party technology providers to deliver its functionality, including AI models (Anthropic Claude), news discovery (Perplexity AI, Brave Search), article content extraction (Firecrawl), text embeddings (OpenAI), and email delivery (Resend). The availability, performance, and accuracy of the Service may be affected by these third-party providers. We are not responsible for any interruptions or limitations arising from third-party service disruptions.

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorised access to your account

You must be at least 18 years old to create an account and use the Service.

4. Access and Credits

4.1 Beta Access

The Service is currently offered free of charge during a beta period. We reserve the right to introduce paid plans in future, with reasonable notice to existing users.

4.2 Credits

Briefing generation consumes credits based on the output level selected. Credit allocations are set by your account tier and may be supplemented via voucher codes. Unused credits do not roll over between cycles.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Transmit malware, viruses, or harmful code
  • Attempt to gain unauthorised access to our systems
  • Interfere with or disrupt the Service or servers
  • Scrape, data mine, or extract data from the Service
  • Resell or redistribute the Service without authorisation
  • Use automated methods to access the Service (except through our API where permitted)

6. Intellectual Property

6.1 Our Content

The Service, including its original content, features, and functionality, is owned by On The Ground and is protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent.

6.2 Third-Party Content

The briefings generated by our Service include summaries and analysis of content from third-party sources. We do not claim ownership of the underlying source material. All source attributions are provided where applicable.

6.3 Your Content

You retain ownership of any content you submit to the Service (such as custom topics or prompts). By submitting content, you grant us a licence to use it for providing the Service.

7. AI-Generated Content

The briefings generated by our Service are produced using artificial intelligence. While we strive for accuracy, AI-generated content may contain errors, omissions, or inaccuracies. You acknowledge that:

  • AI-generated content should not be the sole basis for business decisions
  • We do not guarantee the accuracy, completeness, or timeliness of briefings
  • You should verify important information from primary sources
  • AI outputs may reflect biases present in training data or source materials

7.1 Preliminary Draft Nature of Content

All AI-generated content provided through the Service should be treated as a preliminary draft (approximately 90% complete) that requires human review and validation before any action is taken. The content is designed to assist your decision-making process, not replace it. You are responsible for:

  • Thoroughly reviewing and understanding all generated content before relying on it
  • Verifying facts, figures, and claims against authoritative primary sources
  • Applying your own professional judgement and expertise to the analysis
  • Making final decisions based on your comprehensive assessment, not solely on our outputs

7.2 Human-in-the-Loop Requirement

Our Service is designed to augment human intelligence, not replace it. A qualified human must always be involved in reviewing, interpreting, and acting upon the information provided. You agree that you will:

  • Ensure a competent person reviews all AI-generated briefings before dissemination or action
  • Not automate business decisions based solely on our AI outputs without human oversight
  • Maintain accountability for any decisions made using information from the Service
  • Train any personnel who use the Service to understand its limitations and the need for verification

7.3 Market Conditions and Current Events

Financial markets, geopolitical situations, and business environments can change rapidly and unexpectedly. In the event of major market shifts, breaking news, or significant world events, you acknowledge that:

  • You are solely responsible for monitoring current news and market conditions independently
  • Our briefings may not reflect real-time developments or sudden market changes
  • Information may become outdated between the time of generation and your review
  • You should consult authoritative news sources and professional advisors for time-sensitive decisions
  • We are not liable for any losses arising from reliance on content that has been superseded by events

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ON THE GROUND SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorised access to or use of our servers or personal information
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, or harmful code transmitted through the Service
  • Any errors, inaccuracies, or omissions in AI-generated content
  • Business decisions made based on information from the Service

Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless On The Ground and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service or violation of these Terms.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.

You may close your account at any time by contacting us.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the “Last updated” date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts of Singapore.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and On The Ground regarding the Service and supersede all prior agreements and understandings.
